AI X Network

This Terms of Service and Subscription Agreement ("Agreement") is a legally binding contract between you ("You" or "User") and eZ-Xpo, Inc., doing business as AI X Network ("AI X Network," "we," "us," or "our").

This Agreement governs your access to and use of the AI X Network platform, including HybridEvent365, AI X RAG, KnovaTwin, AI Agents, and all related software, services, and content (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, OR BY CLICKING "SUBMIT," YOU AGREE TO BE BOUND BY THIS AGREEMENT, INCLUDING THE MANDATORY ARBITRATION PROVISION AND LIMITATIONS OF LIABILITY SET FORTH BELOW.

1. Services and AI Advisory

Services

AI X Network provides virtual collaborative environments, engagement ecosystems, marketplaces, and AI-enabled tools designed to support coordination across demand, knowledge, and talent.

Artificial Intelligence Disclaimer

The Services incorporate artificial intelligence and machine-learning technologies. You acknowledge and agree that:

AI-generated outputs are probabilistic and may contain inaccuracies, omissions, or unintended results ("hallucinations").
AI X Network does not guarantee the accuracy, completeness, or suitability of AI-generated content.
AI-generated outputs are not a substitute for professional legal, medical, financial, or other regulated advice, and should not be relied upon for such purposes.
You assume full responsibility for reviewing and validating any AI-generated outputs before use.

2. Registration and Authority

Authority

If you access or use the Services on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to this Agreement.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You must notify [email protected] immediately of any unauthorized access or suspected security breach.

3. Fees, Billing, and Refunds

Subscription and Auto-Renewal

Subscriptions renew automatically at the end of each billing period unless canceled at least three (3) business days prior to the renewal date.

Refund Policy

All fees are subject to the following refund terms:

Non-Refundable Fees: One-time setup fees, customization fees, and promotional or discounted fees are non-refundable once payment is processed.
Limited Refund Window: One-time licensing fees and recurring subscription fees are non-refundable after ten (10) calendar days from the applicable billing date.

Chargebacks

Initiating an unauthorized chargeback constitutes a material breach of this Agreement. AI X Network reserves the right to suspend or terminate access and to pursue collection of outstanding balances.

4. Intellectual Property and Data Usage

Proprietary Rights

All software, platform architecture, AI models, training methodologies, workflows, and frameworks — including HybridEvent365 — are the exclusive property of AI X Network or its licensors. No rights are granted except as expressly stated in this Agreement.

You may not scrape, harvest, reverse-engineer, or otherwise extract data or proprietary elements from the Services.

License to User Data

You grant AI X Network a worldwide, non-exclusive, royalty-free license to host, store, process, and transmit your data solely to provide and improve the Services.

AI X Network may use aggregated and de-identified data to enhance platform performance, analytics, and AI model quality, provided such data does not identify you or your organization.

5. Acceptable Use and Restrictions

You agree not to use the Services to:

Develop or train competing AI models or reverse-engineer proprietary technology.
Generate deepfakes, deceptive content, hate speech, or unlawful material.
Interfere with platform stability, including exceeding reasonable usage limits or attempting to bypass safeguards.

AI X Network reserves the right to throttle, suspend, or restrict usage that threatens system integrity or network performance.

6. Cancellation and Termination

You may cancel your subscription through your account dashboard or by contacting [email protected].

By AI X Network

We may suspend or terminate access immediately for non-payment, violation of this Agreement, or conduct that threatens the security, integrity, or trust of the network.

Termination does not relieve you of payment obligations incurred prior to termination.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI X NETWORK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI X NETWORK DOES NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, OR 100% UPTIME.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AI X NETWORK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
AI X NETWORK'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AI X NETWORK DURING THE ONE (1) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless AI X Network from any claims, damages, liabilities, and expenses arising from:

Your content or data,
Your misuse of AI-enabled features,
Your violation of this Agreement or applicable law,
Your infringement of third-party intellectual property or privacy rights.

10. Governing Law and Arbitration

Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.

Arbitration

All disputes arising under this Agreement shall be resolved by binding arbitration conducted in San Francisco, California. You waive the right to a jury trial and to participate in class or representative actions.
